Organizer Agreement

This Organizer Agreement ("Agreement") establishes the terms and conditions under which you ("Organizer") may use the EventMann platform, operated by ChetsApp UG, to create, manage, promote, and sell tickets for events. This Agreement supplements the general Terms of Service and applies specifically to users who register with the "organizer" role.

By creating an organizer account or publishing your first event on EventMann, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you are acting on behalf of a company or organization, you represent that you have the authority to bind that entity to these terms.

To use EventMann as an organizer, you must meet the following requirements:

• You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is higher).
• If acting on behalf of a business entity, you must be duly authorized to enter into agreements on its behalf.
• You must provide accurate and complete business or personal information, including legal name, address, and tax identification where applicable.
• You must have the legal right to organize the events you list on the platform, including all necessary permits, licenses, and venue agreements.

We reserve the right to verify your identity and eligibility at any time. Failure to provide requested verification documents within 14 days may result in suspension of your organizer privileges.

As an organizer on EventMann, you bear sole responsibility for your events. This includes:

• Event execution: You must deliver the event experience as described in your listing. This includes the venue, date, time, performers or speakers, and any amenities or features advertised.
• Compliance: You must comply with all applicable laws and regulations, including event licensing, health and safety requirements, fire codes, insurance obligations, noise regulations, and accessibility standards.
• Communication: You must keep attendees informed of any material changes to the event, including date changes, venue changes, line-up changes, or cancellations, as soon as reasonably possible.
• Attendee safety: You must take all reasonable precautions to ensure the safety of attendees at your events. This includes adequate staffing, emergency procedures, and compliance with maximum capacity limits.
• Accurate information: All event information — including descriptions, images, pricing, and terms — must be accurate, current, and not misleading.

EventMann is a technology platform that facilitates event management and ticket sales. We are not a co-organizer, promoter, or producer of your events, and we bear no liability for the execution or cancellation of events listed on our platform.

EventMann uses Stripe Connect as its payment infrastructure. As an organizer, you are required to connect your own Stripe account to receive payments from ticket sales. Here is how the payment flow works:

• Stripe account: You must create and maintain a Stripe Connect account in good standing. ChetsApp UG does not hold or manage funds on your behalf — all ticket revenue flows through Stripe directly.
• Platform commission: ChetsApp UG's platform commission (as determined by your pricing plan) is automatically deducted from each transaction by Stripe before funds are deposited into your account. You authorize this deduction by connecting your Stripe account.
• Stripe fees: Stripe charges its own payment processing fees (typically around 2.9% + fixed fee per transaction, depending on your region and card type). These fees are separate from and in addition to ChetsApp UG's platform commission.
• Payouts: Payouts from Stripe to your bank account are handled entirely by Stripe according to their payout schedule (typically 2 business days for most regions). ChetsApp UG does not control or guarantee Stripe's payout timing.
• Currencies: You may set ticket prices in the currencies supported by your Stripe account. Currency conversion fees, if applicable, are handled by Stripe.

You are solely responsible for your relationship with Stripe, including compliance with Stripe's terms of service and acceptable use policies. If your Stripe account is suspended or terminated by Stripe, you will be unable to process ticket sales until the issue is resolved.

EventMann offers multiple pricing plans for organizers, each with different features, limits, and commission rates. Your chosen plan determines:

• Commission rate: The percentage deducted from each ticket sale as the platform fee. Rates vary by plan and are displayed transparently on our pricing page and in your dashboard.
• Event limits: The maximum number of active events you may have at any given time.
• Ticket limits: The maximum number of tickets per event allowed under your plan.
• Features: Access to advanced features such as custom branding, priority support, advanced analytics, and API access may vary by plan.

You may upgrade or downgrade your plan at any time. Plan changes take effect at the start of your next billing cycle. If you downgrade to a plan with lower limits and your current usage exceeds the new limits, you will not be able to create new events or tickets until your usage falls within the new plan's limits, but existing events will not be affected.

All prices are quoted in euros unless otherwise specified. Pricing plans may include a monthly or annual subscription fee in addition to the per-transaction commission. We will provide at least 30 days' notice before any pricing changes take effect for existing customers.

As an organizer, you are responsible for setting and honoring your event's refund policy. EventMann provides the following refund policy options for you to choose from when creating an event:

• No refunds
• Full refund within 24 hours of purchase
• Full refund within 48 hours of purchase
• Full refund within 7 days of purchase

Your chosen refund policy must be clearly displayed on your event page and is binding. You must process valid refund requests in accordance with your stated policy. Failure to honor your refund policy may result in forced refunds by our team and potential suspension of your account.

Event cancellation: If you cancel an event, you are obligated to provide full refunds to all confirmed ticket holders. EventMann will automatically initiate these refunds through Stripe. ChetsApp UG's platform commission on refunded tickets is non-refundable, as the platform service was rendered at the time of the original transaction.

You must also comply with applicable consumer protection laws regarding refunds in the jurisdictions where your attendees are located. In the European Union, this includes statutory cancellation rights under the EU Consumer Rights Directive where applicable.

You retain full ownership of all content you upload to EventMann, including event descriptions, images, logos, and marketing materials ("Organizer Content").

By publishing content on EventMann, you grant ChetsApp UG a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, display, distribute, and modify your Organizer Content solely for the purpose of operating, promoting, and improving the EventMann platform. This includes:

• Displaying your event on the EventMann website and mobile applications
• Including your event in search results, recommendations, and curated collections
• Sharing your event on social media and marketing channels to promote EventMann
• Creating thumbnails, previews, and optimized versions of your images for performance

This license continues for as long as your content remains on the platform and terminates when you delete the content or your account, except that we may retain cached or archived copies for a reasonable period for backup and compliance purposes.

You represent and warrant that you have all necessary rights to the content you upload and that your content does not infringe any third-party intellectual property rights.

When you collect attendee information through EventMann — including names, email addresses, and answers to custom checkout questions — you act as the data controller for that data under the EU General Data Protection Regulation (GDPR). ChetsApp UG acts as a data processor on your behalf.

As a data controller, you are responsible for:

• Legal basis: Ensuring you have a valid legal basis for collecting and processing attendee data (typically performance of a contract — the ticket purchase).
• Transparency: Informing attendees about how their data will be used, including any marketing communications you intend to send.
• Data minimization: Only collecting data that is necessary for managing your event. Custom checkout questions should be relevant and proportionate.
• Data security: Protecting any attendee data you export or access outside of EventMann with appropriate security measures.
• Data subject rights: Responding to attendee requests to access, correct, or delete their personal data within the timeframes required by GDPR.

You must enter into our Data Processing Agreement (DPA), which governs how ChetsApp UG processes attendee data on your behalf. The DPA is available separately on our platform and is incorporated into this Agreement by reference.

ChetsApp UG may suspend or terminate your organizer account under the following circumstances:

• Policy violation: Breach of this Agreement, the Terms of Service, Community Guidelines, or Acceptable Use Policy.
• Fraud: Evidence of fraudulent events, fake ticket sales, or financial manipulation.
• Chargebacks: An excessive chargeback rate (above 1% of transactions) indicating potential fraud or attendee dissatisfaction.
• Stripe issues: Suspension or termination of your connected Stripe account.
• Legal requirements: Where required by law, court order, or regulatory directive.
• Inactivity: Extended periods of inactivity (12 months or more with no active events) may result in account downgrading.

Before suspension: Where possible, we will provide you with notice and an opportunity to remedy the issue before suspending your account. However, we reserve the right to suspend immediately and without notice in cases of fraud, security threats, or illegal activity.

Effect of termination: Upon termination, you must resolve all pending bookings, process any outstanding refunds, and ensure all attendee obligations are met. Access to your organizer dashboard and data export features will remain available for 30 days after termination to facilitate this process. After 30 days, your data will be deleted in accordance with our data retention policy.

You may terminate your organizer account at any time by contacting our support team, provided you have no active events with outstanding ticket sales.

This Agreement is governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to its conflict of law provisions.

Any disputes arising from or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Munich (München), Germany. This choice of jurisdiction does not affect any mandatory consumer protection provisions that may apply in your jurisdiction.

If any provision of this Agreement is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision of this Agreement shall not constitute a waiver of that right or provision.

This Agreement, together with the Terms of Service, Privacy Policy, Community Guidelines, Acceptable Use Policy, and Data Processing Agreement, constitutes the entire agreement between you and ChetsApp UG regarding your use of EventMann as an organizer.
